Terms of service.

These terms govern your use of BitSettle and its website. BitSettle is a self-custody payment-infrastructure service: it watches addresses and token transfers, and payments settle directly to a wallet you control. We never hold your keys or your funds.

This document is provided for general information and does not constitute legal advice. Bitcitizen LLC may update these terms from time to time, and the version published here is the one in effect. Please review it together with your own advisors before relying on it.

01Agreement to these terms

By accessing the BitSettle website or using the BitSettle service (together, the “Services”), you agree to be bound by these terms. If you do not agree, you may not use the Services. If you use the Services on behalf of a business, you confirm that you are authorized to bind that business to these terms.

02Definitions

“BitSettle,” “we,” “us,” and “our” refer to the BitSettle service operated by Bitcitizen LLC. “You” and “merchant” refer to the business or individual using the Services. A “settlement wallet” is the cryptocurrency wallet you designate and control, to which payments settle. A “watched address” is a public address or token contract that BitSettle monitors on your behalf.

03Eligibility

You must be at least 18 years old and capable of entering into a binding agreement. You must not be subject to sanctions administered by OFAC, the EU, the UN, the UK, or any other applicable authority, and you must not be located in a comprehensively sanctioned jurisdiction. You agree to provide truthful information. Providing false information may result in immediate suspension or termination of the Services.

04Description of the Services

BitSettle is a self-custody, receive-only payment-infrastructure service. It monitors blockchain addresses and stablecoin token transfers, detects incoming Bitcoin, Lightning, and USDT payments, and reports them to you. Payments settle directly to a settlement wallet that you control.

What we are

We provide watch-only monitoring, payment detection, invoicing, and related tooling built on open BTCPay Server. We help you receive cryptocurrency payments to wallets you already control.

What we are not

We are not a bank, a money-services business acting as a custodian, a money transmitter holding your balances, an exchange, or a wallet provider. We do not take custody of your funds, hold your private keys, or move money on your behalf. We do not provide legal, tax, accounting, or financial advice.

05Self-custody and no custody of funds

BitSettle never holds your funds or your keys. Payments settle directly to your settlement wallet. You are solely responsible for the security, backup, and control of that wallet and its keys. We cannot recover funds sent to an address you control, reverse a blockchain transaction, or restore access to a wallet you have lost. You are responsible for confirming that any address you configure is correct and that you are monitoring the intended network.

06Acceptable use

You agree that you will not use the Services to:

  • violate any applicable law, regulation, or sanctions program;
  • facilitate money laundering, terrorist financing, fraud, or tax evasion;
  • infringe the intellectual-property or other rights of any party;
  • attempt to gain unauthorized access to the Services, probe or scan their infrastructure, or interfere with their operation; or
  • misrepresent your identity, your business, or the nature of the payments you process.

You are responsible for the goods and services you sell and for your compliance with the laws that apply to your business.

07Payments and settlement

BitSettle detects and reports payments; it does not guarantee that any payment will be made, confirmed, or be of a particular value. Blockchain transactions are irreversible and are subject to network fees, confirmation times, congestion, and price volatility that are outside our control. Stablecoins such as USDT are issued by third parties whose controls, including the ability to freeze balances, are outside our control. You are responsible for reconciling settled amounts against your own records and for any network or wallet fees.

08Service fees

Fees for the Services, where applicable, are described at the time you subscribe or are set out in a separate order or agreement. Network fees, exchange-rate movements, and third-party charges are not BitSettle fees and are not collected by us. We may change our fees on reasonable notice; continued use after a fee change constitutes acceptance.

09Your obligations

You agree to keep your account credentials and settlement-wallet keys secure, to provide accurate configuration information, to monitor your own settlement, and to comply with all laws applicable to your use of the Services. You are responsible for determining what tax, reporting, licensing, or regulatory obligations apply to your acceptance of cryptocurrency payments.

10No legal, tax, or financial advice

All content on the BitSettle website and within the Services is provided for general information only. It is not legal, tax, accounting, financial, or investment advice, and it does not create any professional relationship. You should consult your own qualified advisors before making decisions about accepting, holding, or converting cryptocurrency.

11Intellectual property

The BitSettle name, logo, website, and the materials we publish are owned by Bitcitizen LLC or its licensors and are protected by applicable law. Built on open BTCPay Server. The underlying open-source components remain governed by their respective licenses. You may not reproduce, distribute, or create derivative works from our proprietary materials without our prior written consent.

12Third-party services

The Services rely on third-party infrastructure, including blockchain networks, node and RPC providers, and stablecoin issuers. We do not control these third parties and are not responsible for their availability, conduct, or decisions, including network downtime, reorganizations, or issuer actions that affect a token balance.

13Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that payment detection will be timely or complete in every circumstance.

14Limitation of liability

To the maximum extent permitted by law, Bitcitizen LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or funds, arising out of or relating to your use of the Services. Because BitSettle never holds your funds, you remain solely responsible for the security of your settlement wallet. Our total aggregate liability for any claim relating to the Services will not exceed the greater of the fees you paid to us for the Services in the twelve months preceding the claim or one hundred United States dollars. Some jurisdictions do not allow certain limitations, in which case our liability is limited to the fullest extent permitted by applicable law.

15Indemnification

You agree to indemnify and hold harmless Bitcitizen LLC and its officers, employees, and agents from any claims, losses, or expenses, including reasonable legal fees, arising out of your use of the Services, your violation of these terms, your violation of any law, or your sale of goods or services to your customers.

16Suspension and termination

We may suspend or terminate your access to the Services at any time for violation of these terms, suspected unlawful or sanctioned activity, non-payment, or risk to the integrity or security of the Services. Because settlement is self-custody, termination does not affect your ability to receive funds at your own wallet through other means. Sections that by their nature should survive termination, including disclaimers, limitation of liability, indemnification, and governing law, will survive.

17Sanctions and compliance

You represent that you and your beneficial owners are not subject to applicable sanctions and that you will not use the Services to evade them. We may decline or terminate the Services for any party that appears on an applicable sanctions list and will cooperate with lawful requests from competent authorities.

18Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. Before initiating any formal proceeding, you agree to first contact us in writing and to attempt in good faith to resolve the matter for a period of sixty days. Nothing in this section prevents either party from seeking equitable relief to protect its intellectual property.

19Changes to these terms

We may update these terms from time to time. When we do, we will revise the “last updated” date above. Material changes will be communicated by reasonable means. Your continued use of the Services after a change takes effect constitutes acceptance of the revised terms.

20Severability and entire agreement

If any provision of these terms is found unenforceable, the remaining provisions stay in effect. These terms, together with our Privacy Policy and any order or engagement you enter with us, constitute the entire agreement between you and Bitcitizen LLCregarding the Services.
